By creating an account, purchasing or activating a subscription, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and acknowledge our Privacy Policy at Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility, Minors, and Accounts

You must be at least 18 years old and legally capable of entering into a binding contract to create an account, purchase a subscription, or make another purchase through the Services. A parent or legal guardian may allow a minor to view age-appropriate Content through an account the adult establishes and supervises. The adult account holder is responsible for the minor’s use.

The Services are not directed to children under 13, and children under 13 may not create accounts or provide personal information directly to us.

Some programs may contain mature themes, explicit language, sexual content, violence, substance use, or other material unsuitable for some viewers. Ratings, descriptions, warnings, or parental controls may be provided for convenience but are not guaranteed to identify every potentially objectionable element. Parents and guardians are responsible for deciding what minors in their care may watch.

You must provide accurate, current, and complete information and keep it updated. You are responsible for activity conducted through your account, except to the extent caused by Gotti TV’s failure to use reasonable security measures. Keep your credentials confidential and promptly Contact Support to report suspected unauthorized access. You may not sell, transfer, rent, or commercially share an account. We may require password resets, device verification, or other reasonable authentication measures.

2. Personal and Household Use; Devices and Streams

Your subscription is for personal, noncommercial use by you and, where the applicable plan permits, members of your household. A “household” means people who primarily reside with you at your principal residence. Your plan description or checkout page may specify limits on profiles, registered devices, simultaneous streams, supported devices, or household use. Those disclosed limits form part of these Terms.

We may use reasonable technical measures to verify devices and household use and identify unusual login, location, or viewing activity. We may ask you to verify your account or temporarily restrict particular devices while suspected fraud, piracy, credential resale, or unauthorized sharing is investigated.

3. Territory and Content Availability

The Services are offered from the United States. You are responsible for complying with laws applicable where you access them.

Our distribution rights are limited by licenses, territories, time periods, platforms, and devices. Therefore, programs, seasons, episodes, live streams, captions, audio tracks, and features may differ by country or region; particular Content may not be available on every device or App; Content may be added, delayed, edited, replaced, or removed; and access may be restricted when you travel outside your home territory. We may use location information and technical controls to enforce geographic restrictions.

You may not disguise or falsify your location, including through a proxy, virtual private network, or similar tool, to evade a lawful geographic restriction. We do not represent that the Services are available or lawful in every jurisdiction or that they comply with industry-specific laws such as HIPAA or GLBA.

4. Ownership and Limited License

The Services—including software, code, interfaces, designs, text, graphics, logos, audio, video, programs, compilations, and other materials (collectively, “Content”)—and all Gotti TV names, logos, trademarks, and service marks (the “Marks”) are owned by or licensed to Gotti TV and protected by applicable laws.

Subject to these Terms and any plan-specific conditions disclosed at purchase, we grant you a limited, personal, nonexclusive, nontransferable, nonsublicensable, revocable license to access the Services and stream Content included in a valid rental, purchase, promotional period, or active subscription solely for personal, noncommercial viewing. No ownership interest is transferred to you.

5. Offline Downloads

If an App displays an authorized download option, you may temporarily download selected programs only within the Gotti TV App to supported devices for personal, offline viewing. Downloads are not permanent copies and may not be exported, copied, transferred, played through unauthorized software, or retained outside the App.

Downloaded Content may expire or become unavailable when your subscription, rental period, or access right ends; the applicable viewing window expires; the device remains offline longer than allowed; we no longer hold the necessary rights; you sign out, remove the App, change plans, or exceed device limits; or we reasonably disable access for rights protection, security, or legal compliance. Availability varies by program, device, plan, and territory. Canceling a subscription does not preserve downloaded copies after the paid subscription period ends.

6. Restrictions and Acceptable Use

Except where applicable law expressly permits otherwise, you may not, and may not assist another person to:

copy, record, capture, download, publicly perform, distribute, transmit, restream, rebroadcast, modify, sell, rent, sublicense, or create derivative works from the Services or Content;

screen-record or use capture hardware or software to make unauthorized copies;

restream or post Content through TikTok, YouTube, Instagram, Facebook, Twitch, another streaming service, a public venue, or any other platform;

use the Services commercially or charge others to view them;

share credentials outside your plan, resell access, create unauthorized simultaneous streams, or circumvent device or household limits;

bypass digital rights management, encryption, watermarks, authentication, geographic restrictions, or other protections;

remove copyright, trademark, watermark, attribution, or proprietary notices;

reverse engineer, decompile, disassemble, or derive source code, except to the limited extent nonwaivable law permits;

scrape, crawl, index, data-mine, use bots, automate account creation, or access the Services through an unauthorized interface;

use the Services or Content to develop, train, test, or improve an artificial-intelligence or machine-learning model without written permission;

introduce malware or code designed to disrupt, damage, monitor, or gain unauthorized access;

engage in fraud, payment abuse, fraudulent chargebacks, impersonation, harassment, threats, or unlawful activity; or

infringe intellectual-property, privacy, publicity, contractual, or other rights.

Nothing in these Terms prohibits activity that constitutes fair use or is otherwise protected by nonwaivable law.

7. Feedback

The Services do not currently permit subscribers to upload or publicly post user-generated content. If you voluntarily provide ideas, suggestions, or feedback, you grant us a worldwide, nonexclusive, royalty-free, transferable, and sublicensable right to use it without restriction or compensation, but we are not required to identify you or use your name or likeness.

If a future feature permits user uploads or public posts, additional terms presented with that feature will govern them. We will not treat private customer-support communications as publicly submitted content. Information deleted from active systems may remain temporarily in restricted backups until overwritten under our retention schedule, as further described in our Privacy Policy.

8. Purchases, Subscriptions, and Billing

We may offer rentals, transactional viewing licenses, subscriptions, promotional access, or other paid products.

Rentals. A rental permits streaming during the rental window disclosed before purchase. Access ends when that window expires, even if you have not finished viewing.

Transactional “purchases.” A Content “purchase” grants a personal viewing license; it does not transfer ownership or promise a permanent copy. Unless a longer mandatory period is required by law, access continues only while Gotti TV retains the necessary distribution rights, makes the Content available, supports the applicable platform, and your account complies with these Terms. Material limitations will be disclosed before purchase.

Subscriptions. A subscription provides access to the Content and features included in the selected plan while active. The plan, billing frequency, price, trial or promotional period, renewal terms, and applicable taxes will be disclosed at or before checkout.

Payment authorization. By providing a payment method and confirming a transaction, you authorize Gotti TV, its processor, or the applicable platform to charge the disclosed amounts, including recurring charges and taxes. You represent that you are authorized to use the payment method.

Automatic renewal and cancellation. Unless disclosed otherwise, paid subscriptions automatically renew for successive periods equal to the initial billing period at the disclosed renewal price, plus taxes, until canceled.

You may cancel at any time before your next renewal charge is processed through the method identified in your account, purchase confirmation, or platform settings. Subscriptions activated online through Gotti TV will have an online cancellation method. Cancellation ordinarily takes effect at the end of the current paid period, and access continues until then unless law requires otherwise. Deleting an App or ceasing to watch does not cancel.

Subscriptions purchased through Apple, Google, Roku, Samsung, LG, Amazon, or another platform must ordinarily be managed through that platform. Its billing and refund rules also apply, and we cannot guarantee that we can directly cancel or refund transactions it billed.

We will provide a retainable acknowledgment identifying material subscription and cancellation terms, plus legally required notices about trials, promotional pricing, renewals, and material price changes. If we materially increase a recurring price, we will provide advance notice and cancellation instructions as required by law.

Trials and promotional pricing. An offer will disclose its duration, eligibility, the price and frequency afterward, and how to cancel before being charged. Unless stated otherwise, it converts automatically to the disclosed paid subscription when the promotional period ends. We may limit offers by person, household, payment method, or device and revoke access obtained through abuse or misrepresentation.

Failed payments. If payment fails, we or the platform may retry the method, request updated information, suspend paid access, or cancel the subscription. You remain responsible for authorized charges incurred before cancellation. We will not impose undisclosed fees.

Refunds. Except where required by law, stated in an offer, or governed differently by the billing platform, payments are final and nonrefundable, and no prorated refunds are provided for partially used billing periods. A discretionary refund or credit does not create an obligation in another case.

Pricing errors. We may correct genuine pricing or product-description errors and cancel affected unfulfilled transactions. If you were charged and do not accept a corrected price, the remedy will be a refund rather than a retroactive additional charge unless you separately authorize it.

9. Promotional Codes

Promotional codes are subject to the disclosed offer terms. Unless stated otherwise, a code is limited to one redemption per eligible person or account; has no cash value and may not be sold, transferred, reproduced, or combined; applies only to eligible products, plans, territories, and periods; does not cover taxes or platform charges; and may be refused or canceled if obtained or used through fraud, automation, resale, duplication, or error.

Expiration dates and material limitations will be disclosed as required by law. If a discounted subscription renews at a different price, that price and timing will be disclosed before enrollment.

10. Gift Subscriptions

Gift subscriptions or codes, if offered, may be redeemed only for eligible plans and territories. Unless the gift terms state otherwise, the recipient must use an eligible account; a gift cannot be redeemed for cash, resold, or replaced if lost or used without authorization except where law requires; it covers only the stated period or value; and taxes or excess amounts may require payment.

Gift redemption does not authorize recurring charges unless the recipient separately receives the renewal terms and affirmatively enrolls. Expiration, inactivity, refund, and unclaimed-property rules vary by jurisdiction. Any expiration or fee applies only if clearly disclosed and legally permitted.

11. Account Credits

We may issue promotional, customer-service, or refund credits. Unless stated otherwise, credits may be used only through the issuing account for eligible Gotti TV charges; are nontransferable, may not be resold, and are not redeemable for cash except where required; do not create or extend a subscription unless stated; and may be revoked if issued because of fraud, abuse, duplication, chargeback, or obvious error.

Any expiration will be disclosed when issued and applies only where permitted. If a credit does not cover the full charge, you authorize charging the remaining disclosed balance only if you separately authorized that transaction or renewal.

12. Third-Party App Stores and Device Platforms

When you obtain or use an App through a third-party app store, manufacturer, or platform, you must also comply with its terms. The platform may control billing, refunds, subscription management, device compatibility, and certain support obligations. Gotti TV, not the platform, is responsible for the App and its Content to the extent required by law and platform rules. A platform provider may be a third-party beneficiary where its terms require that status.

13. Availability, Changes, and Support

We may update, maintain, modify, suspend, or discontinue features, supported devices, or Content. We do not guarantee uninterrupted or error-free operation, a particular resolution or bitrate, or continued availability of a specific program. Quality depends on device capability, location, plan, network, and internet connection.

If we permanently discontinue an entire prepaid Service for reasons unrelated to your violation, we will provide any notice, continued access, substitute benefit, credit, or refund required by law. This does not require compensation when programs change through ordinary subscription-catalog rotation.

For support, use Contact Support.

14. Accessibility

To report an accessibility barrier, request reasonable assistance, or provide accessibility feedback, use Report an Accessibility Issue, call +1 (281) 846-4814, or write to Gotti TV, 811 St. Emanuel Street, Houston, Texas 77003. Identify the feature, page, device, App, or Content involved and the requested assistance. We will make reasonable efforts to respond and provide access consistent with applicable law.

15. Privacy

Our Privacy Policy at Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. By using the Services, you acknowledge that personal information will be handled as described there. This acknowledgment is not consent to any practice for which applicable law requires separate consent.

16. Communications

Transactional communications. By creating an account or purchasing, you agree that we may send communications reasonably necessary to administer your account or transaction, including receipts, security alerts, password resets, service notices, renewal or price-change notices, and legal updates. You may not be able to opt out of essential service communications while maintaining an active account.

Optional marketing. Marketing emails, promotional texts, and similar advertising are optional and governed by the choices presented when you separately enroll. Accepting these Terms, creating an account, or purchasing does not by itself constitute consent to marketing texts, and marketing consent is not a condition of purchase. Where required, we will obtain separate express consent and provide an opt-out method. Message and data rates may apply.

Electronic notices and records may satisfy legal writing requirements to the extent permitted by law. Electronic signatures and records may be used for transactions through the Services.

17. Copyright Complaints

Gotti TV does not currently allow subscribers to upload or publicly post content. If you believe material available through the Services infringes your copyright, use Submit a Copyright Complaint and include:

your name and contact information;

identification of the copyrighted work;

identification and location of the allegedly infringing material;

a good-faith statement that the use is not authorized by the owner, its agent, or law;

a statement under penalty of perjury that the information is accurate and you are the owner or authorized to act; and

your physical or electronic signature.

We may investigate and remove or restrict material when appropriate. This provides a copyright-contact procedure but does not represent that this email is a registered DMCA designated agent. If user uploads are later introduced, we may adopt an expanded notice, counter-notice, repeat-infringer, and agent process.

18. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” GOTTI TV DISCLAIMS EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT AVAILABILITY IN EVERY JURISDICTION OR ON EVERY DEVICE; UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION; ANY PARTICULAR VIEWING QUALITY; OR CONTINUED AVAILABILITY OF ANY PROGRAM. RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED ARE NOT AFFECTED.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOTTI TV AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNTS YOU PAID DIRECTLY TO GOTTI TV DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, WHICH MAY INCLUDE GROSS NEGLIGENCE, WILLFUL MISCONDUCT, CERTAIN PERSONAL INJURIES, OR STATUTORY RIGHTS.

20. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Gotti TV and its affiliates, officers, directors, employees, and agents from third-party claims, damages, costs, liabilities, and reasonable attorneys’ fees arising from your unlawful use or misuse, material breach, violation of another person’s rights, or fraud through your account. This does not apply to the extent a claim results from Gotti TV’s negligence, willful misconduct, or violation of law.

21. Suspension and Termination

We may suspend or terminate access immediately when we reasonably believe it necessary to address piracy, fraud, credential resale, payment abuse, security threats, unlawful conduct, threats, or a material breach. For a breach reasonably capable of cure without creating risk, we may provide notice and an opportunity to cure, but are not required to when immediate action is reasonably necessary.

We may terminate inactive free accounts or discontinue Services for legitimate business, legal, or technical reasons. If we terminate an active prepaid subscription for reasons unrelated to your breach, we will provide any continued access, credit, or refund required by law. If termination results from your material breach, no refund is due except where required.

Upon termination, your license ends, downloaded Content becomes inaccessible, and you must stop using the Services. Provisions that by nature should survive—including ownership, accrued payment obligations, disclaimers, limitations, indemnification, and dispute resolution—will survive.

22. Governing Law and Court Proceedings

These Terms are governed by Texas law, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs Section 23. This choice does not deprive consumers of nonwaivable protections of their residence.

For disputes not arbitrated, venue lies in a court of competent jurisdiction in Harris County, Texas, except that consumers may bring qualifying individual small-claims actions as allowed below or where nonwaivable law requires another venue. To the extent permitted, each party waives a jury trial for a dispute properly proceeding in court.

23. Dispute Resolution, Individual Arbitration, and Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHT TO HAVE A DISPUTE DECIDED BY A JUDGE OR JURY.

Informal resolution. Before arbitration, the complaining party must send an individualized notice describing the dispute, requested relief, and information sufficient to identify the transaction. Notices to Gotti TV must be sent through Send a Legal Notice and mailed to Gotti TV, 811 St. Emanuel Street, Houston, Texas 77003. Gotti TV will use the account contact information.

The parties will attempt good-faith resolution and, if requested, participate in an individualized telephone or video conference. Arbitration may not begin until 45 days after receipt of a compliant notice. Applicable limitation periods are tolled during that period.

Binding individual arbitration. Except for stated exclusions, disputes arising from these Terms, the Services, transactions, or our privacy or security practices will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect when filed, as modified here. The Federal Arbitration Act governs.

The arbitrator decides disputes about interpretation, applicability, enforceability, or formation of this arbitration agreement, except a court decides enforceability of the class waiver or coordinated-claims procedure. The arbitrator may award the same individual remedies a court could under applicable law and must issue a reasoned written decision.

Location, format, and fees. Hearings may proceed by documents, telephone, or video. If an in-person consumer hearing is required, it will occur in the county where you reside or another agreed location unless law or AAA rules provide otherwise. AAA rules govern fees. Gotti TV will pay fees required by those rules or law. Each party bears its attorneys’ fees unless awarded under applicable law.

Exclusions. Either party may bring an individual qualifying claim in small-claims court in Harris County or the consumer’s county. Either may seek temporary or preliminary court relief to protect intellectual property, confidential information, account security, or Service integrity while arbitration is pending. Government agencies remain free to consider claims within their authority.

No class proceedings. YOU AND GOTTI TV AGREE THAT CLAIMS MAY BE BROUGHT ONLY INDIVIDUALLY, NOT IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE PROCEEDING. Except under the coordinated-claims procedure, the arbitrator may not combine claims without every affected party’s written consent.

Coordinated claims. If 25 or more substantially similar demands are submitted against the same party by or with the assistance of the same or coordinated counsel or organizations, they must be administered in sequential batches of up to 25 unless AAA requires another procedure. One arbitrator will resolve each batch as a procedural group while preserving each individual claim, defense, and remedy. Only one batch proceeds at a time. This does not authorize class arbitration. If AAA declines administration and the parties cannot agree on another administrator, either may ask a court to appoint one under the Federal Arbitration Act.

Opt-out. You may opt out within 30 days after first accepting these Terms through Send a Legal Notice with the subject “Arbitration Opt-Out,” your full name, mailing address, account email, and clear opt-out statement, or mailing the same information to the address above. Opting out does not affect your account or other Terms.

Severability. If the class-arbitration prohibition is unenforceable as to a particular claim or relief, only that portion proceeds in court after arbitrable individual issues are resolved. If another portion is unenforceable, it will be severed and the remainder enforced to the maximum lawful extent.

24. Changes to the Services or Terms

We may revise these Terms prospectively. For material changes, we will provide reasonable notice through the Services, email, or another appropriate method before they take effect. If law requires affirmative consent, we will request it. Continued use after the effective date constitutes acceptance only to the extent permitted by law.

A change to Section 23 will not apply to a dispute for which either party received a compliant Notice of Dispute before the change took effect unless both parties agree.

25. Data Retention and Backups

We may retain account and transaction information as described in our Privacy Policy at Privacy Policy, including for legal compliance, fraud prevention, security, dispute resolution, and backup integrity. Information deleted from active systems may remain temporarily in restricted backups until overwritten under our retention schedule. We do not guarantee restoration of profiles, preferences, viewing history, or account data. This does not expand our right to retain information beyond applicable law and the Privacy Policy.

26. Third-Party Links and Services

The Services may link to or integrate with third-party websites, applications, processors, device platforms, or services. We do not control and are not responsible for their independent content, availability, security, terms, or privacy practices. Their terms and policies govern your use.

27. Miscellaneous

These Terms, the Privacy Policy at Privacy Policy, plan and offer terms presented at purchase, and policies expressly incorporated by reference constitute the entire agreement concerning the Services.

Failure to enforce a provision is not a waiver. Except as specifically stated in Section 23, if a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will remain effective.

You may not assign these Terms without our written consent. We may assign them through a merger, acquisition, financing, reorganization, asset sale, transfer of the Services, or operation of law, provided the assignment does not reduce nonwaivable consumer rights.

Except for a platform provider as stated in Section 12, these Terms create no third-party beneficiary rights.

We are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, severe weather, government acts, labor disputes, utility or internet outages, cyber incidents, war, civil unrest, epidemics, or hosting, payment, app-store, or distribution-provider failures. This does not excuse obligations that cannot legally be waived.

Headings are for convenience and do not affect interpretation.
